Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Spanner application (the "Service") operated by:

("Kable", "us", "we", or "our").
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
By accessing or using the Service you agree that you have read these Terms, and that you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. These terms are legally binding and you are responsible for ensuring they are read closely.
1. DESCRIPTION OF THE SERVICE
Spanner is an AI-powered software creation platform that enables users to generate applications using natural language prompts.
The Service may integrate third-party artificial intelligence technologies, including but not limited to:
• OpenAI models (including ChatGPT)
• Anthropic models
• Other third-party AI providers
The Service may generate software such as:
• Productivity applications
• Financial tracking tools
• Crypto or stock tracking tools
• Business tools
• Experimental or custom software
You acknowledge that AI-generated software may contain errors, defects, or limitations, and that such errors, defects, or limitations shall not give rise to a claim, in law or in equity, against Kable and / or Spanner, including its directors, employees, partners, agents, suppliers, affiliates, or successors or assigns.
2. USER ELIGIBILITY
You must be at least 18 years old and legally capable of entering a binding agreement.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
3. ACCOUNTS
You may be required to create an account to access the Service.
You agree to:
• Provide accurate information
• Maintain confidentiality of login credentials
• Accept responsibility for all activity under your account
We reserve the right to suspend or terminate accounts at our discretion.
4. FEES, PAYMENTS, AND SUBSCRIPTIONS
The Service may require payment of subscription or usage fees.
Payment Terms
• Fees are billed in advance
• Subscriptions automatically renew unless cancelled
• Prices are displayed in the applicable currency
• Taxes may apply where required by law
Fee Changes
Kable may modify pricing at any time. Continued use after a price change constitutes acceptance of the updated fees.
Refunds
Except where required by law:
• All fees are non-refundable
• No refunds are provided for unused subscription periods
5. AI-GENERATED CONTENT DISCLAIMER
Spanner uses artificial intelligence to generate applications and software code.
You acknowledge and agree:
• AI output may contain errors or vulnerabilities
• AI output may be incomplete or unreliable
• Generated apps may not function properly
• Generated apps may infringe third-party rights
• You are solely responsible for testing and validating any generated software
Kable does not guarantee the quality, legality, or fitness of AI-generated outputs, and you agree the foregoing will not give rise or cause to give rise to any legal claim including third party claims against Kable, its directors, employees, partners, agents, suppliers, affiliates, successors or assigns.
6. NO PROFESSIONAL OR FINANCIAL ADVICE
The Service may generate applications related to:
• Investments
• Cryptocurrency
• Financial tracking
• Data analytics
Kable does not provide:
• Financial advice
• Investment advice
• Legal advice
• Professional services
You assume full responsibility for any reliance on generated software.
7. USER RESPONSIBILITIES AND PROHIBITED USES
You agree not to use the Service to:
• Create illegal software
• Develop malware or harmful code
• Violate intellectual property rights
• Engage in fraud or deceptive activities
• Create applications that violate laws or regulations
We may suspend or terminate access for violations.
8. THIRD-PARTY SERVICES
Spanner relies on third-party AI providers and infrastructure.
We are not responsible for:
• Third-party service interruptions
• Changes to third-party policies
• Accuracy of third-party AI outputs
Use of such services may be subject to their own terms.
9. INTELLECTUAL PROPERTY
Platform Ownership
The Service and all related technology, copyrights, patents, trademarks, trade secrets, and other intellectual property, remain the exclusive property of Kable and its licensors. The user understands, covenants, and agrees that they do not own any part of the Service used to generate their programs or applications, and understands that continued access to the Service is at the discretion of Kable. No part of the code, programming, design, engineering, or development of Spanner and its related products, services, or technologies, both present or future, shall at any point become the property of the user, and the user releases any claims they may otherwise have at law or in equity.
The user further understands that their subscription and / or access to the Service is non-transferable, and that you may only use the Service on a device that you own or control. You will not, and do not have the right to, license, rent, lease, sell, assign, or transfer your access to the Service to any third parties.
Generated Content Ownership
Subject to compliance with these Terms:
• You retain ownership of applications you generate
• Ownership does not include underlying AI systems or platform technology
You grant Kable a limited license to use your generated content to:
• Improve the Service
• Maintain functionality
• Train systems (where permitted by law)
10. LIMITATION OF LIABILITY & INDEMNITY
To the maximum extent permitted by law:
In no event shall Kable, its directors, employees, partners, agents, suppliers, affiliates, successors or assigns, be liable for:
• Loss of profits
• Loss of data
• Security breaches
• Financial losses
• Legal claims related to generated software
• Legal claims arising from third parties relating to your use of the Service.
• Your misuse, unlawful use, or negligent use of the Service.
• Your reliance, detrimental or otherwise, on AI outputs which you acknowledge may contain errors consistent with the preceding sections of this agreement.
• Legal costs, fines, penalties, and other expenses or charges, associated with your use of the Service
Without limitation to the foregoing, you agree and promise to indemnify and save harmless Kable, its directors, employees, partners, agents, suppliers, affiliates, successors or assigns, from any claims or legal proceedings of any nature commenced by third parties, including persons, companies, or government agencies, arising from your use or misuse of the Service, including applications, programs, or software generated through your use of the Service.
For greater certainty, the user agrees to fully and completely indemnify and save harmless Kable from any such lawsuits, damages, legal actions, judgments, financial penalties, charges, liens, awards of legal costs, and other monetary fines or consequences, which arise from claims commenced by third parties either against the user directly, or against Kable in connection with the actions of the user. Additionally, the user agrees to indemnify Kable, its directors, employees, partners, agents, suppliers, affiliates, successors or assigns, for any legal costs it incurs in defending such claims, on a solicitor and own client basis.
You confirm you have read and understand these terms and conditions, and that prior to using the software, you have had an opportunity to have these terms and conditions reviewed.
Total liability to you shall not, in any event, exceed the amount paid by you to Kable during the previous 12 months, which sum shall be inclusive of any claim to legal costs or expenses.
11. DISCLAIMER OF WARRANTIES
Your use of the Service is at your sole risk.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
We do not warrant that:
• The Service will be uninterrupted or secure
• Errors will be corrected
• Generated software will function properly
• The Service will meet your expectations
Without limiting the generality of the foregoing, and for greater clarity, Kable, on its own behalf on behalf of its directors, employees, partners, agents, suppliers, affiliates, successors or assigns, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties or terms about merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of the course of deal, course or performance, usage, or trade practice.
Without limiting the generality of the foregoing, and for greater clarity, Kable provides no warranty or undertaking, and makes no representation of any kind, that the Service will be meet your requirements, achieve any intended results, be compatible or work with other software, applications, systems or services, operate without interruption, meet any performance or reliability standards, or be error free or that any defects or errors can be corrected.
The user agrees the exclusions, limitations, and waivers set forth in this section and in the Terms generally, shall be applied to the greatest extent enforceable under the law, and to the extent a warranty cannot be legally disclaimed, Kable, and not its directors or employees, shall be responsible for such warranty.
12. TERMINATION
We may at our sole and absolute discretion suspend or terminate your access at any time if you violate these Terms. Such suspension or termination may be without notice to you and we may or may not provide opportunity for correction. In the event your access is suspended, such suspension will not be regarded at law as a repudiation of these Terms by Kable, and service may be suspended for such period of time as Kable in its sole discretion determines to be appropriate. During the period of suspension you agree to cooperate with Kable, and any law enforcement authorities who may be involved, as the situation may merit, including cooperating in any investigation they may deem appropriate in the circumstances, including producing such information, or answering such inquiries, within a time frame that Kable in its sole discretion deems to be appropriate. Upon termination, and during such periods of suspension, you shall cease using the Service entirely.
You may stop using the Service at any time.
Termination or suspension does not relieve you of outstanding payment obligations, and termination will not limit any of Kable’s rights or remedies at law or in equity in the event you have breached these terms or any of your obligations under these terms or the AI Acceptable Use Policy. Termination or suspension by Kable in accordance with these terms does not give rise to a claim by the user against Kable, and the user acknowledges these terms may constitute a complete defence against such claims.
13. GOVERNING LAW
These Terms shall be governed exclusively by the laws of the Province of Newfoundland and Labrador, Canada, as well as any applicable federal laws as may in the future apply.
Any disputes arising from the use of the Service, or arising from these Terms, shall be resolved exclusively in the courts of Newfoundland and Labrador. The user acknowledges and agrees, for greater certainty, that the courts of Newfoundland and Labrador have sole, exclusive, and absolute jurisdiction over such matters, and furthermore, that claims will not be initiated in other jurisdictions.
14. CHANGES TO TERMS
We reserve the right to unilaterally modify these Terms at any time.
If changes are material, we will attempt to provide notice at least 30 days in advance.
Continued use after changes constitutes acceptance of the updated Terms. You agree it is your responsibility to review and familiarize yourself with any modified terms or conditions and that while Kable will attempt to provide advance notice, such advance notice may not be possible and in no way will the failure to provide notice constitute a waiver, estoppel, or inability to enforce the modified Terms.
15 . User-Generated Applications and Public Sharing
Spanner enables users to create, publish, and share software applications (“User Apps”) with other individuals through share links or other distribution mechanisms.
By using the sharing features of the Service, you acknowledge and agree that:
Platform Role
Kable acts solely as a technology platform provider and does not:
• Create User Apps
• Review all User Apps prior to sharing
• Endorse or verify User Apps
• Guarantee the safety, functionality, or legality of User Apps
All User Apps are created and controlled by individual users.
User Responsibility
Users who create and share User Apps are solely responsible for:
• The content and functionality of their apps
• Compliance with applicable laws
• Protection of personal data collected through their apps
• Any damages caused by their apps
Public Distribution Risk
User Apps shared via links may be accessible by anyone with access to the link.
Kable is not responsible for how shared links are distributed or used.
Removal Rights
Kable reserves the right, at its sole discretion, to:
• Disable public access to any User App
• Remove User Apps from the platform
• Suspend accounts distributing harmful apps
• Investigate suspected violations
without prior notice.
No Platform Liability
Kable shall not be liable for any damages arising from:
• Use of User Apps by third parties
• Errors or defects in User Apps
• Security vulnerabilities in User Apps
• Data collected through User Apps
And the user agrees to fully indemnify Kable, its directors, employees, partners, agents, suppliers, affiliates, or successors or assigns, from such damages or claims, including legal costs and the solicitor-client costs required to defend such claims.
16. SEVERABILITY AND WAIVER
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Agreement shall not affect Kable’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
17. TERMS AND AGREEMENT
In addition to the terms set forth herein, you agree you have read and understand the AI Acceptable Use Policy and the AI Risk Disclosure and User Safety Notice, and you understand these documents must be reviewed in addition to the Terms.
Subject to the foregoing, you agree these Terms constitute the entire Terms, and supersedes all prior and contemporaneous written or oral communications between you and Kable, its employees, or directors. You acknowledge you may be subject to additional terms and conditions that apply in the future.
